How to open an LLP in Kazakhstan in 2026
Step by step: what to prepare, how to register a company via eGov and what to do right after registration.
Step 1. Preparation
Before filing, decide on:
- The name — it must be unique.
- The members — one founder or several, citizens of Kazakhstan or foreigners.
- The director — this can be the founder.
- The legal address. Since 2026, electronic registration checks the address automatically against the address register, and private businesses need the property owner’s consent.
- Business activities and the charter capital. Small businesses have no minimum capital; for others it is 100 MCI (432,500 ₸ in 2026).
Step 2. Documents
- The sole founder’s decision or minutes of the founders’ general meeting.
- The charter. You can use the Ministry of Justice standard charter — in that case its text cannot be changed.
- A founders’ agreement if there are several members.
- A decision appointing the director.
- Digital signatures (EDS) of every founder and the director.
Step 3. Registration via eGov
- Log in to egov.kz with your digital signature.
- Select the legal entity registration service in the business section.
- Complete video identification and fill in the company details.
- Sign the application with your digital signature and submit it.
- Download the state registration certificate in your personal account.
Since 1 April 2026, in certain cases set out in the registration authority’s internal control rules, the founder’s personal presence may be required. If this applies to you, a notice will arrive in your eGov account.
How much it costs
Small and medium-sized businesses are exempt from the registration fee. For large businesses the fee is 6.5 MCI, i.e. 28,112.5 ₸ in 2026.
Step 4. What to do right after registration
- Choose a tax regime. Without a notice the company stays on the general regime (20% corporate income tax on profit). The simplified declaration is a tax on income at a base rate of 4%, which local councils may change within 2–6%; the limit is 600,000 MCI of income per year.
- Check the VAT threshold. VAT registration is mandatory once income exceeds 10,000 MCI per year — 43,250,000 ₸ in 2026. The rate is 16%.
- Open a bank account to receive payments and marketplace payouts.
- Get a company digital signature for reporting and electronic contracts.
- Connect to marketplaces and decide where your goods will be stored.
